Analog Devices Targets the Next Wave of Physical Intelligence

Analog Devices is moving to bring AI closer to the physical world. The US-based semiconductor company has announced plans to acquire California-based Alif Semiconductor in a $1.3bn cash deal, creating a stronger hardware platform for systems that sense, process information, and respond in real time.

The agreement also includes a potential additional payment of up to $200m, depending on certain undisclosed conditions. The transaction is expected to strengthen Analog Devices’ position in providing hardware for AI applications in real-world systems, where fast decisions and local processing can matter as much as raw computing power.

A New Push Into AI-Native Hardware

Alif Semiconductor supplies silicon to a range of consumer and industrial customers, but its most important asset is its AI-native processing platform. The California-based company has developed microcontrollers and fusion processors built around a heterogeneous architecture, giving different computing resources specific jobs inside the same system.

That design supports real-time sensor fusion, low-latency inference, and on-device AI processing. Instead of sending every task away for remote computation, these products are designed to handle AI workloads where the data is created, helping systems respond within the physical environment.

Alif’s platform combines dedicated processing with the elements needed to build intelligent devices, including connectivity, security, and power management. That combination places the proposed acquisition at the intersection of semiconductors, embedded systems, and edge AI.

Connecting Sensors, Software, and Local Intelligence

Analog Devices plans to combine its sensor, power, and software capabilities with Alif Semiconductor’s AI-native processing platform. That pairing brings together the ability to gather information from the physical world, manage energy, process signals, and run AI workloads on the device.

The company aims to address an expanded range of applications, including industrial systems, defence, data centre infrastructure, digital health, robotics, energy, and wearable devices. Those fields share a demand for hardware that can interpret conditions locally and act without depending on a distant processing system for every decision.

Vincent Roche, CEO and chair of Analog Devices, said the combination could open a new class of secure systems:

“By combining Alif’s digital processing capabilities with our leadership in multi-modal sensing, signal processing, power, connectivity, and software, we can empower customers to create entirely new classes of secure, intelligent systems that sense, reason, and act locally in real time. This is the next frontier of AI: embodied and deterministic. This is Physical Intelligence in action.”

That focus on systems that “sense, reason, and act” gives the deal a clear direction. The target is not AI as a separate cloud service, but AI embedded in devices that interact with equipment, environments, and people through sensors and physical controls.

Deal Timing and Analog Devices’ Acquisition Strategy

The transaction is expected to be completed by the end of this year, pending customary closing conditions and regulatory approvals. Those approvals include the expiration of any applicable waiting periods under the Hart-Scott-Rodino Antitrust Improvements Act.

The proposed Alif acquisition follows another major move by Analog Devices. In May, the company announced plans to acquire Empower Semiconductor in a cash deal valued at approximately $1.5bn, then completed that acquisition in July 2026.

Together, the deals show Analog Devices building around a wider hardware strategy that links power, sensing, processing, and software. The Alif agreement adds an AI-native platform to that effort, with a design aimed at bringing inference and decision-making into consumer and industrial devices.

The proposed $1.3bn purchase now points toward a future where intelligent systems do more work at the edge, drawing on local sensors and processors to deliver fast, secure, and deterministic responses. If the transaction closes by the end of this year, Analog Devices will gain another route into the hardware layer supporting Physical Intelligence.
